一、合同主体的含义：

1、必须是法律地位互相平等。

2、范围包含自然人、法人、其他组织。

因平等主体的要求，合同法的适用对象不包括管理和被管理关系之间签订的协议，如劳动合同，以及有关身份关系的协议，如婚姻、收养、监护等。

二、合同主体的范围

1、自然人，它既包括本国的公民，也包括外国人和无国籍人。自然人分为无民事行为能力人、民事行为能力人和完全行为能力的人。

无民事行为能力的人可以作为合同主体，但是本人不能单独签订合同，需法定代理人代为签订合同才能生效。行为能力的人可以签订与本人年龄和智力相适应的合同，对于超出本人年龄和智力的合同，需法定代理人代为签订才能生效。完全民事行为能力的人可以签订合同。

2、法人，是指具有民事权利能力和民事行为能力，并依法享有民事权利和承担民事义务的组织。包括：企业法人，机关、事业单位法人，社会团体法人。

3、其他组织，是指除了自然人和法人以外的单位或者机构。其他组织主要有以下几种：

(一)依法登记领取营业执照的个人独资企业;

(二)依法登记领取营业执照的合伙企业;

(三)依法登记领取我国营业执照的中外合作经营企业、外资企业;

(四)依法成立的社会团体的分支机构、代表机构;

(五)依法设立并领取营业执照的法人的分支机构;

(六)依法设立并领取营业执照的商业银行、性银行和非银行金融机构的分支机构;

(七)经依法登记领取营业执照的乡镇企业、街道企业;

(八)其他符合本条规定条件的组织。

三、合同生效的条件

(1)合同当事人具有相应的民事权利能力和民事行为能力合同当事人必须具有相应的民事权利能力和民事行为能力以及缔约能力，才能成为合格的合同主体。若主体不合格，合同不能产生法律效力。

(2)合同当事人意思表示真实当事人意思表示真实，是指行为人的意思表示应当真实反映其内心的意思。合同成立后，当事人的意思表示是否真实往往难以从其外部判断，法律对此一般不主动干预。缺乏意思表示真实这一要件即意思表示不真实，并不绝对导致合同一律无效。

(3)合同不违反法律或者社会公共利益合同不违反法律和社会公共利益，主要包括两层含义：一是合同的内容合法，即合同条款中约定的权利、义务及其指向的对象即标的等，应符合法律的规定和社会公共

利益的要求。二是合同的目的合法，即当事人缔约的原因合法，并且是直接的内心原因合法，不存在以合法的方式达到非法目的等规避法律的事实。

(4)具备法律、行规规定的合同生效必须具备的形式要件所谓形式要件，是指法律、行规对合同形式上的要求，形式要件通常不是合同生效的要件，但如果法律、行规规定将其作为合同生效的条件时，便成为合同生效的要件之一，不具备这些形式要件，合同不能生效。当然法律另有规定的除外。
